TJC (“TJC” or “us” or “we”) welcome you to submit your innovative ideas to TJC (the ”Idea” or “Ideas”) using the submission form available on TJC website (the “Site”) (the ”Idea Submission Form”).
By submitting an Idea via the Idea Submission Form you hereby agree to be bound by the following Idea Lab Terms and Conditions (the “Terms“) and to comply with all applicable laws and regulations regarding the submission of your Ideas via the Idea Submission Form. If you do not agree to these Terms, please do not submit Ideas. If you would like to keep your Ideas confidential, do NOT send them to us. WE WILL NOT REVIEW CONFIDENTIAL INFORMATION.
Please note that TJC is under no obligation to – (ⅰ)use, commercialize and/or develop the Idea in any manner whatsoever; (ⅱ) keep your Idea confidential; (ⅲ) offer you feedback on your Idea.
In order to be eligible to submit Ideas via the Idea Submission Form, you must be an individual over the age of eighteen (18) years and possess the legal authority to enter into these Terms and to form a binding legal agreement under any applicable law, and to fully perform your obligations hereunder.
TJC will not consider any Ideas that are confidential or that are subject to any restrictions of or by a third party. We will not accept any Idea in confidence, or on the basis that a confidential relationship is created or exists between you and TJC, or under a guarantee that we shall maintain the Idea in secret, or on the basis that, apart from these Terms, an agreement exists, either implied or explicit. By submitting an Idea to TJC via Idea Submission Form, you acknowledge that such Idea is by definition non-confidential and TJC may share such Idea throughout its organization with no obligation to keep it confidential.
By submitting an Idea to TJC via Idea Submission Form, you acknowledge that TJC is under no obligation to return any materials to you. Thus, you should not furnish us with anything you expect to be returned. You further agree to allow TJC to maintain and keep a copy of your Idea for its records.
Upon receipt of Idea via Idea Submission Form, TJC shall have the right to distribute the Idea internally to any and all its affiliates. Further, if your Idea is selected by TJC, TJC shall have the right to develop the Idea into a product and sell such product over its own and its affiliates’ website or in any manner whatsoever.
Once you have submitted your Idea, your Idea will automatically become the property of TJC. To the extent you provide any Idea to TJC via the Idea Submission Form, you hereby irrevocably assign and transfer to TJC, its successors, assignees or nominees, all of your rights, title and interest in and to the Idea, including without limitation any and all intellectual property rights associated therewith (such as patents, patent applications, copyrights, trademarks, trade secrets), and all other present and future rights in relation thereto and arising therefrom (collectively “Intellectual Property Rights”).
As a condition to submitting Ideas to tjc, you hereby represent and warrant that: (i) the Idea you submitted to tjc via the Idea Submission Form is your original work and that you are the sole and bona-fide rightful owner of all rights in and to your Idea, including all Intellectual Property Rights associated therewith, including the right to convey the entire interest in the Idea free and clear of any undertakings or obligations, and have not made, and will not make, any agreement in conflict herewith in respect to the Idea you submitted to TJC via the Idea Submission Form; (ii) the Idea you submitted to TJC via the Idea Submission Form does not contain any third party rights and materials, including without limitation any third party confidential information and Intellectual Property Rights; (iii) you have all the necessary licenses, rights, consents, and permissions required to enable TJC’s use of the Idea; (iv) the Idea you submitted to TJC via the Idea Submission Form does not infringe any third party rights including without limitation any Intellectual Property Rights, privacy rights, publicity rights; (v) the execution and/or any act of acceptance of these Terms does not and will not violate any other agreement to which you are bound to or any law, rule, regulation, order or judgment to which you are subject; (vi) the information you have and will provide to TJC is full, complete and true; and (viii) you have all necessary rights to disclose the Idea to TJC and that the Idea you submitted to TJC through the Idea Submission Form shall be deemed to be non-confidential.
You acknowledge that you are required to provide certain personal information to TJC in order to submit an Idea via the Idea Submission Form. If you intend to submit an Idea via the Idea Submission Form, you must first read and agree to the Privacy Policy. Please note that we reserve the right to contact you via the contact details that you have provided through the Idea Submission Form in order to enforce your obligations hereunder.
The use of the Site is solely at your own risk. In no event will TJC be liable for any loss or damages whatsoever including, but not limited to, direct, indirect, special, incidental or consequential damages of any kind. You hereby waive any claim you may have against TJC, its officers, directors, affiliates or employees, in this regard. TJC reserves the right, at its sole discretion, to cancel, terminate, modify or suspend these Terms and the Idea Submission Form. You agree to indemnify, defend and hold harmless TJC from and against any and all damages, costs (including, without limitation, reasonable attorneys’ fees), expenses, liabilities and claims, including third party claims and causes of actions, in any way arising by reason of or relating to any breach or alleged breach by you of any warranty, representation or any other provision in these Terms.
Any claim relating to the use of the Site will be governed by English law, and the parties submit to the non-exclusive jurisdiction of the courts of England and Wales.
These Terms do not, and shall not be construed to, create any partnership, joint venture, employer- employee, agency, or franchisor-franchisee relationship between the parties hereto. If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provision. You may not assign, sublicense or otherwise transfer any or all your rights or obligations under these Terms without TJC’s prior express written consent. No waiver by either party of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof. These Terms are, together with the Privacy Policy, the entire terms and conditions between you and TJC relating to the Site and supersedes any and all prior or contemporaneous written or oral agreements or understandings between you and TJC.
